Argest Rentals LLC Short-Term Rental Hospitality Provider

This Co-hosting Agreement (“Agreement”) is entered into between Argest Rentals LLC (“Argest
Rentals”) and the Host/Homeowner (“Host”).

1. Scope of Services: Argest Rentals agrees to provide the following services to the Host in
connection with the Host’s short-term rental property:

a. Co-hosting on short-term rental platforms, including but not limited to Airbnb, VRBO,
Peerspace.com, and Booking.com.

b. Advertising on corporate housing sites, including but not limited to
argestcorporaterentals.com, argestrentals.com, owlmarketplace.com, and
travelershaven.com.

c. Providing the services listed in the “Argest Rentals Management Services” section of
this Agreement.

Contract Start Date: This Agreement will become effective upon execution by both parties.


Management Fee: The Host agrees to pay Argest Rentals a management fee equal to 15% of the
total booking payout for each booking, minus the fixed average market cost of cleaning the
property. If the Host decides to use a cleaning team that charges above the average market rate,
the service fee will be calculated based on 15% of the booking payout, minus the fixed average
market cost of cleaning the property.

Onboarding Fee: The Host agrees to pay a one-time onboarding fee of $500, which will be
waived if the Host uses Argest Rentals’ Airbnb referral link for a new account.

2. Term of Service: This Agreement will remain in effect for 12 months, with automatic
renewal for successive 12-month periods, unless terminated in accordance with the
termination provisions herein.

3. Service End Date: Either party may terminate this Agreement by providing the other
party with 30 days’ written notice. The Host remains responsible for any bookings made
prior to the termination of this Agreement.

4. Payout Frequency: Argest Rentals will invoice the Host within the first 5 days of each
month for fees related to hospitality services provided. The Host agrees to pay such
invoices within 3 days of receipt. A 5% late fee will be assessed on any payment received
more than 3 days after the invoice is sent.

5. Booking Payouts: Payouts from bookings will generally be sent directly to the Host’s
account. In certain direct booking scenarios, Argest Rentals may need to collect
payment, in which case Argest Rentals will decide on a case-by-case basis whether to
send the payout directly to the Host at that time or deduct it from the next invoice
balance.

6. Vendor Selection: Argest Rentals will determine the best vendors in the market for the
property. The Host acknowledges and agrees that Argest Rentals’ service fee calculations
will be based on the average market cost of cleaning, regardless of the actual cost
incurred by the Host.

7. Responsibilities of the Host: The Host agrees to be responsible for the following:

a. Obtaining and maintaining any required short-term rental permits.

b. Adhering to all applicable HOA rules and city regulations.

c. Paying all applicable state and city hotel occupancy taxes.

d. Dealing with HOAs or property management.

e. Obtaining professional photography.

f. Unit refreshment or redesign.

g. Paying all taxes and fees due to the city or state.

h. Paying for any maintenance or deep cleaning.

i. Paying for yard maintenance and landscaping.

j. Coordinating with Argest Rentals to supply required items, including but not limited
to toilet paper, trash bags, paper towels, dish soap, dishwasher detergent, and
toiletries (hand soap, shampoo, conditioner, body wash, and lotion). Additional
items, such as snacks, coffee and tea, sugar, creamer, and basic cooking supplies
(salt, pepper, cooking oil, coffee filters), can also be included in restocking at the
Host’s expense.

k. Providing a valid form of payment to pay for the cleaning jobs performed by
approved cleaning partners after each guest checkout, as well for restocking
purchases and paying other vendors. The Host agrees that Argest Rentals will coordinate the cleaning services and charge the Host’s provided payment method for
the actual cost incurred.

11. Entire Agreement: This Agreement constitutes the entire understanding between the
parties with respect to the subject matter hereof and supersedes all prior and
contemporaneous agreements, representations, and understandings, whether oral or
written. No amendment or modification of this Agreement shall be binding unless in
writing and signed by both parties.

12. Governing Law: This Agreement shall be governed by and construed in accordance with
the laws of the state in which the Host’s property is located, without regard to its conflict
of law provisions.

13. Dispute Resolution: Any dispute arising out of or in connection with this Agreement,
including any question regarding its existence, validity, or termination, shall be referred
to and finally resolved by arbitration under the rules of the American Arbitration
Association or other mutually agreed-upon arbitration rules. The place of arbitration
shall be the state in which the Host’s property is located. The language of the arbitration
shall be English. Judgment upon the award rendered by the arbitrator(s) may be entered
in any court having jurisdiction thereof.

14. Counterparts and Electronic Signatures: This Agreement may be executed in
counterparts, each of which shall be deemed an original, and all of which together shall
constitute one and the same instrument. Electronic signatures shall be deemed original
signatures for all purposes.
